License Grant

ChillTool grants you a limited, non-exclusive, non-transferable, and revocable license to use the Product in accordance with this agreement. This license is for personal or business use, depending on the subscription plan you select, and does not transfer ownership of the software to you. You may install and use the Product only on devices that you own or control, and you must comply with all applicable laws and regulations in your jurisdiction.

Restrictions on Use

You may not reverse-engineer, decompile, disassemble, modify, or create derivative works of the Product unless expressly permitted by law. Additionally, you may not distribute, sublicense, lease, rent, or otherwise make the Product available to third parties without prior written consent from ChillTool. Any unauthorized use, including sharing license keys or bypassing digital rights management (DRM) protections, constitutes a material breach of this agreement and may result in termination of your access to the Product.

Intellectual Property Rights

All rights, title, and interest in and to the Product, including but not limited to copyrights, trademarks, patents, and trade secrets, are and shall remain the exclusive property of ChillTool and its licensors. This EULA does not grant you any rights to ChillTool’s branding, logos, or other proprietary materials beyond the limited license to use the Product as described herein.

Payment and Subscription Terms

If the Product is offered under a subscription model, you agree to pay all applicable fees in accordance with the billing terms presented at the time of purchase. Failure to renew a subscription may result in loss of access to premium features. We reserve the right to modify pricing and subscription plans with prior notice, though such changes will not apply retroactively to existing subscriptions.

Termination

This EULA remains in effect until terminated by either party. ChillTool may terminate your license immediately if you violate any terms of this agreement. Upon termination, you must cease all use of the Product and delete any installed copies from your devices. Provisions relating to intellectual property, disclaimers, and liability limitations shall survive termination.

Disclaimer of Warranties

The Product is provided “as is” without warranties of any kind, whether express or implied. ChillTool does not guarantee that the Product will be error-free, uninterrupted, or fully compatible with all hardware or software configurations. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

In no event shall ChillTool be liable for any indirect, incidental, special, or consequential damages arising from your use of or inability to use the Product, even if advised of the possibility of such damages. Our total liability under this agreement shall not exceed the amount you paid for the Product during the twelve (12) months preceding the claim.

Governing Law and Dispute Resolution

This EULA shall be governed by generally accepted principles of international commercial contracts (including but not limited to the UNIDROIT Principles), to the exclusion of any conflict of laws rules. Any dispute arising out of this Agreement shall be finally settled by binding arbitration administered by an internationally recognized arbitration institution in accordance with its Arbitration Rules. The language of arbitration shall be English. Each party shall bear its own attorneys’ fees and related expenses, and the award shall be enforceable in any competent court.

Amendments and Updates

ChillTool reserves the right to modify this EULA at any time. Continued use of the Product after such changes constitutes acceptance of the revised terms. You are responsible for reviewing updates periodically.
